2. Eligibility

3. Account Responsibilities

4. Payment Terms, Subscriptions, and No Refunds

Fees: We offer our Services through monthly subscriptions and one-time fees. By providing a payment method (processed securely via Stripe), you authorize us to charge the applicable fees.

Auto-Renewal: Monthly subscriptions will automatically renew unless canceled prior to the end of the current billing cycle.

No Refunds Policy: All payments, including subscription fees and one-time purchases, are non-refundable. We do not offer prorated refunds for canceled subscriptions or unused time.

5. Acceptable Use and Fair Use Policy

You agree to use our Services lawfully and respectfully. You may not:

Use the Services to generate illegal, harmful, threatening, abusive, defamatory, or discriminatory content.

Reverse engineer, decompile, or attempt to extract the source code of our software.

Bypass or manipulate our API limits, billing systems, or usage restrictions.

Fair Use: Our Services are subject to a Fair Use Policy. To ensure optimal performance for all users, we reserve the right to throttle, suspend, or limit your access if your usage significantly exceeds average user volumes or places an undue burden on our systems and third-party API providers.

6. Intellectual Property and AI Output Ownership

Our Property: We retain all rights, title, and interest in and to the Prepwise Solutions platform, including our website, software, branding, and proprietary prompts/workflows.

Your Inputs: You retain ownership of the data, text, and materials you input into our Services ("Inputs").

AI Outputs: Subject to your compliance with these Terms and the terms of our third-party LLM providers (e.g., OpenAI, Anthropic, Google), we assign to you all our rights, title, and interest in the content generated and returned by the Services based on your Inputs ("Outputs"). You are solely responsible for how you use, publish, or distribute the Outputs.

7. AI Service Disclaimer (Accuracy and "Hallucinations")

Our Services utilize highly advanced artificial intelligence and machine learning models. Due to the nature of AI, the Outputs may not always be accurate, complete, or reliable.

Verification Required: You agree that you are solely responsible for reviewing, verifying, and fact-checking all AI-generated Outputs before relying on them, publishing them, or using them in any business context.

No Advice: Outputs do not constitute professional legal, medical, financial, or technical advice. We assume no liability for any errors, omissions, or "hallucinations" (fabricated information) generated by the AI.

8. Third-Party Services

Our Services rely on third-party platforms (e.g., GoHighLevel, OpenAI, Stripe, Twilio). We are not responsible for the uptime, accuracy, or policies of these third parties. Service interruptions caused by third-party outages are not grounds for refunds or liability claims.

9. SMS and Communication Terms

By providing your phone number, you consent to receive informational and marketing text messages from Prepwise Solutions.

Message and data rates may apply.

You can opt out at any time by replying "STOP" to any message. Reply "HELP" for assistance.

Opting out of SMS may impact your ability to receive certain service notifications.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PREPWISE SOLUTIONS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PREPWISE SOLUTIONS, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Termination and Suspension

We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, if you breach any of these Terms, violate our Acceptable Use policies, or engage in any conduct that we deem harmful to our business or other users.

13. Governing Law and Dispute Resolution

Governing Law: These Terms and any disputes arising out of or related to them shall be governed by the laws of the State of Missouri, United States, without regard to its conflict of law principles.

Binding Arbitration: Any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding, individual arbitration administered by the American Arbitration Association (AAA) in Kansas City, Missouri.

Class Action Waiver: You agree that you may bring claims against us only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of this document or by sending a notice to your registered email. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
